Seller Agreement

1. The agreement

This agreement is between you (the seller) and Sellexa Limited, a company registered in Northern Ireland with company number NI735255 and registered office at West Circular Close, 187 West Circular Road, Belfast, Northern Ireland, BT13 3QF.

By creating a seller account on Sellexa and listing products, you accept this agreement, our Terms of Service, our Privacy Policy, and the policies cross-linked throughout this document. Where this agreement and the Terms of Service conflict, this agreement governs the seller relationship.

2. Eligibility and verification

  • You must be at least 18 years old.
  • You must be based in the United Kingdom and ship from a UK address. Cross-border ship-to and ship-from is not supported in v1.
  • You must complete Sellexa's know-your-customer (KYC) checks and Stripe Connect onboarding (identity, business details, bank account, tax information).
  • You must hold any licences, registrations, or permits required by UK law for the goods you list. Food sellers see the Food Sellers Policy.
  • You must keep your business details, contact information, and bank details accurate and current.

3. Listings and product quality

  • Listings must accurately describe the item, including condition, materials, origin, and any provenance claims.
  • Photos must show the actual item; stock or template imagery may not be used in lieu of the item you will dispatch.
  • Pricing in GBP, with VAT included where you are VAT-registered.
  • Items must be of satisfactory quality, fit for purpose and as described, in line with the Consumer Rights Act 2015.
  • You may not list anything in our Prohibited & Restricted Items Policy or that breaches our Restricted Content Policy.

4. Fees

Sellexa charges a platform commission on each completed sale. There are no listing fees and no monthly subscription. Two other amounts can affect a payout: the payment-processing fee passed through from Stripe, and, where Sellexa books the shipping label for you, the cost of that label.

  • Commission: 10% of the item subtotal (price × quantity), excluding shipping and any applicable taxes.
  • Payment-processing fee: Stripe's card-processing fee is passed through to you at 1.5% of the buyer's payment plus a single 20p per checkout. The 1.5% applies to the product amount only, except on a Custom listing where the buyer pays a shipping fee, in which case it also covers that fee. The 20p is charged once per checkout and shared across your order or orders in that checkout.
  • Shipping: how shipping affects your payout depends on the listing's mode. On Simple listings Sellexa books the label through Parcel2Go; where you (the seller) bear the cost, the actual label cost is deducted from your payout, and where the buyer pays, their shipping payment reimburses Sellexa's float and does not pass through your payout. On Custom listings you arrange the label yourself: a buyer-paid Custom fee is paid out to you when you self-ship, or funds the label if you choose to buy it through Sellexa. Your net payout is item subtotal − 10% commission − payment-processing fee ± shipping adjustment.
  • Same-day delivery (Belfast): where a listing offers same-day, the buyer pays the same-day fee at checkout, and Sellexa books and pays for the rider centrally through Stuart. Sellexa may reduce the buyer's same-day fee as their basket of your same-day items grows; any reduction is funded by Sellexa out of its own commission, and the courier is still paid in full. Nothing is deducted from your payout for a same-day delivery, neither the fee nor any reduction passes through your payout, and you never pay any part of delivery. Commission and the payment-processing fee apply as normal on the item subtotal.
  • VAT on commission: Sellexa is not currently VAT-registered. We will give at least 30 days' written notice via in-app banner and email before VAT applies to commission.

5. Payments and payouts

Buyer payments are processed and held by Stripe Payments UK Limited (a regulated UK payment institution) on a Stripe Connect "Separate Charges & Transfers" basis. Sellexa does not hold buyer funds in its own bank account at any point.

  • Payouts are released per order, not on a fixed weekly schedule. There is no set payout day.
  • Earnings on an order become payable only once the order is marked delivered, either confirmed by the buyer or auto-confirmed after the standard delivery window has elapsed. Sellexa then initiates the transfer of your share for that order.
  • Stripe's settlement to your bank typically takes a further 1–3 working days.
  • Refunds, chargebacks, and disputes are handled per the Fees & Payouts Policy and the Returns & Refunds Policy.

6. Order fulfilment and shipping

  • Dispatch within the processing time stated on the listing. Persistent late dispatch is grounds for enforcement action.
  • Simple listings: Sellexa books the shipping label through our courier partner Parcel2Go.com Limited (company number 02591405). You print the label from the order page, then hand the parcel to the courier or drop it off. Tracking is created automatically and updates on the order page without you entering anything.
  • Custom listings: you arrange your own label, then enter the tracking number on the Sellexa order page so the buyer can follow their parcel. (If you choose to buy the label through Sellexa on a Custom order, it works like a Simple label and tracking is automatic.)
  • Same-day orders (Belfast): once the buyer has paid, Sellexa books a rider through Stuart. You do not book or pay for anything. Have the order packed and ready, hand it to the rider when they arrive, and mark the handover on the order page. Tracking updates by itself. Only turn same-day on for listings you can genuinely have ready within the hour, because a rider is dispatched to you on the strength of it.
  • Buyer's name, delivery address and delivery phone number are shared with you solely so you can fulfil the order (UK GDPR Art 6(1)(b)). You do not see the buyer's email address. The delivery phone number is provided because carriers ask for a contact number for the delivery, and you may only use it in connection with delivering that order. Using it to contact the buyer for any other purpose, including marketing or moving the sale off Sellexa, breaches this agreement. For Simple orders (and Custom orders where you buy the label through us), Sellexa shares the buyer's name, delivery address, delivery phone number and email address with Parcel2Go and the courier that carries the parcel, so the label can be produced and the parcel delivered. On same-day orders Sellexa shares the same buyer details with Stuart, and also shares your business name, business phone number, email and collection address with Stuart so the rider can find you. For seller-managed Custom orders you arrange the label yourself and Sellexa does not transmit buyer data to any carrier on your behalf.
  • You may not contact buyers outside Sellexa's in-app messaging, see the Off-Platform Transactions Policy.

7. Customer service and consumer rights

Buyers on Sellexa have full statutory rights under the Consumer Rights Act 2015 (satisfactory quality, fit for purpose, as described) and the Consumer Contracts Regulations 2013 (14-day cooling-off for distance sales). You must honour those rights.

  • Respond to buyer messages within 48 hours.
  • Process valid returns and refunds promptly. Mechanics are in the Returns & Refunds Policy.
  • For complaints you cannot resolve, the buyer can escalate through the Complaints Policy.

8. Conduct, misconduct and enforcement

You must comply with our Community Guidelines in every interaction on Sellexa. Off-platform solicitation is dealt with under the Off-Platform Transactions Policy.

9. Intellectual property

You retain ownership of your listing content. You grant Sellexa a non-exclusive, royalty-free, worldwide licence to host, reproduce, display, and promote that content for the purpose of operating the platform, including in marketing materials, social media, and third-party indexing services (search engines).

You must not infringe third-party IP. Reports and counter-notices are handled per the Intellectual Property Policy (UK Copyright, Designs and Patents Act 1988).

10. Platform-to-Business Regulation transparency

Sellexa complies with the UK retained Platform-to-Business Regulation. The following sets out how we meet our key obligations to you.

10.1 Ranking transparency (Art. 5)

Listings appear in shop, search and category pages based on a combination of: keyword relevance to the buyer's query, recency of the listing, completeness of the listing (photos, description, attributes), seller verification status, fulfilment performance (on-time dispatch and delivery), and buyer-engagement signals (saves, click-through). Sellers cannot pay for higher organic ranking; we do not currently offer paid placement.

10.2 Differentiated treatment (Art. 7)

Sellexa does not currently offer first-party listings, ancillary goods, or preferred-seller tiers. Where we do in future, we will disclose the nature of the differentiation here.

10.3 Suspension and termination (Art. 4)

Restrictions, suspensions, and terminations are subject to written reasoned decisions, the appeal route in the Seller Misconduct & Enforcement Policy, and ADR via the Complaints Policy.

10.4 Internal complaint-handling (Art. 11)

Sellers may complain about any aspect of how Sellexa operates the platform, fees, ranking, suspension, data access, technical issues, via support@sellexa.app. We acknowledge within 3 working days, aim to resolve within 14 working days, and provide a substantive final response within 8 weeks. 10.5 Changes to terms

Material changes to this agreement (commission rate, payout cadence, new fees, significant policy changes affecting sellers) take effect at least 30 days after we notify you in-app and by email. Minor or clarifying changes may take effect immediately.

11. HMRC reporting (DAC7 equivalent)

Under the UK's digital platform reporting rules, Sellexa is required to collect and report seller information annually to HMRC where you exceed the relevant thresholds. We will collect the required data (name, business address, tax identifier, payout total) and share a copy of what we report with you. You remain responsible for declaring your earnings on your own self-assessment or company tax return. Full details in the Fees & Payouts Policy §HMRC.

12. Data protection

Sellexa is the controller of buyer personal data shared with you for fulfilment. You are an independent controller of that personal data once you receive it (for example, in your dispatch records). You must process it only for the purpose of fulfilling the order and meeting your tax obligations, in line with the UK GDPR and Data Protection Act 2018. You must not contact the buyer for marketing purposes without a lawful basis. On Simple orders (and Custom orders where you buy the label through us), Parcel2Go and the courier also receive the buyer's contact and delivery details to carry the parcel, and on same-day orders Stuart receives them, along with your own business contact and collection details. Sellexa's general data handling is described in the Privacy Policy.

13. Termination

You may close your seller account at any time once any open orders are fulfilled or cancelled. Sellexa may suspend or terminate your account on the grounds and in the manner set out in the Seller Misconduct & Enforcement Policy. On termination, payouts on completed and undisputed orders continue to be paid in line with the Fees & Payouts Policy.

14. Liability

Sellexa is a marketplace; we facilitate the contract of sale between you and the buyer but we are not a party to it. You are solely responsible for the goods you sell, your business compliance, your tax affairs, and any liability to the buyer.

Nothing in this agreement excludes or limits Sellexa's liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded under English or Northern Irish law. Subject to that, our total aggregate liability to you in any 12-month period is capped at the total commission you paid us in the 12 months immediately preceding the event giving rise to the claim. We are not liable for loss of profit, loss of business, or indirect or consequential loss.

15. Governing law and jurisdiction

This agreement is governed by the laws of Northern Ireland. Subject to the ADR route signposted in the Complaints Policy, the courts of Northern Ireland have exclusive jurisdiction over any dispute arising under this agreement.
